Alan Cohen, Partner

Alan S. Cohen is a partner in the Real Estate practice group in the firm's Business department. Mr. Cohen joined Kronish Lieb Weiner & Hellman in February 2004, which was merged into Cooley LLP in 2006. He is resident in the New York office.

Mr. Cohen handles a wide range of complex real estate matters, including acquisitions and dispositions, construction and development projects, real estate finance (including the origination, workout and restructuring of debt), leasing, and joint ventures and investment transactions involving office, residential, hospitality and retail properties.

Mr. Cohen has extensive experience representing institutional investors, such as private equity and opportunity funds, owners and developers in connection with all stages of real property investment and development - from initial property acquisition, to structuring complex joint venture and financing arrangements, to negotiating agreements with or on behalf of developers, contractors, construction lenders and related trade professionals.

Examples of recent real estate transactions handled by Mr. Cohen include the representation of:

  • Centurion Realty LLC in its $75 million acquisition through a planned REIT structure of a C corporation, which owns several properties, including the SoHo site of NYC's first Apple store, and related joint venture formation with a well-known owner/developer and institutional investment fund, and related financing.
  • Squaw Valley Ski Corporation, the long-time owner of assets and ski operations at Squaw Valley Ski Resort in Lake Tahoe (site of the 1960 Winter Olympics), in its acquisition of The Village of Squaw Valley USA, consisting of 2 condo-hotels and commercial assets, which include six restaurants, 20 retail shops and a luxury spa.
  • Safra National Bank of New York in its financing of the $117 million acquisition of the retail condominium unit under the St. Regis Hotel in Manhattan (697 Fifth Avenue/2 East 55th Street) and a European affiliate of the Bank in its financing of the $285 million acquisition of the office condominium unit located at 660 Madison Avenue (above Barneys New York). 
  • Caribbean Property Group, a leading real estate private equity firm, in its acquisition of The Dorado Beach Resort in Puerto Rico, a $1 billion redevelopment with two premium hotels, four championship golf courses and nearly 1,000 luxury residential units.
  • NVIDIA Corporation in its acquisition of an existing office park in Silicon Valley and the planned redevelopment of its headquarters to include a two million square foot corporate campus. 

Mr. Cohen has also worked closely with the firm's Bankruptcy and Restructuring group to restructure debt, both in and outside of bankruptcy, including through debtor-in-possession financings, and to dispose of and acquire real property through Section 363 asset sales. 

Mr. Cohen is ranked "AV® Preeminent™" (5.0 out of 5.0) by the Peer Review Rating certification procedures used by Martindale-Hubbell and has been named as one of New York's "Super Lawyers".  In addition, effective 2012, Mr. Cohen serves as Corporate Secretary and a Director/Executive Committee Member of the NY Chapter of NAIOP (Commercial Real Estate Development Association).

Mr. Cohen earned a J.D., with high honors, from The National Law Center at George Washington University in 1986 (Order of the Coif). He received a B.A. in Economics, summa cum laude, in 1983 from The State University of New York at Albany, where he was elected to Phi Beta Kappa.

Mr. Cohen is admitted to practice in New York.
