Laura A. Berezin is a partner in the Cooley Business department and co-heads the Firm's Investment Banking practice group. She joined the Firm in 1992 and is resident in the Palo Alto office.
Ms. Berezin specializes in corporate securities and complex corporate finance transactions, with a particular expertise in representing clients in the life sciences industry. She represents public and private corporations, investment banks, venture capitalists and financial institutions both in the United States and Europe in a variety of equity, debt and equity-linked transactions, including public offerings, private placements, PIPES, 144A transactions and highly structured convertible instruments, spin-outs and mergers and acquisitions.
Ms Berezin also represents on an ongoing basis, public and private companies, particularly in the life sciences industry. Her general corporate practice includes formation and financing activities, securities compliance, public company disclosure and corporate governance matters. In particular, Ms. Berezin has extensive expertise in counseling publicly-traded life sciences companies and their boards of directors. Because of this experience, Ms Berezin is a frequent speaker at life science related meetings and conferences.
Ms. Berezin is listed in the Best Lawyers in America in the category of Biotechnology Law and Securities Law. Since 2006, Ms. Berezin has been selected by Law and Politics Magazine as one of Northern California's Super Lawyers, a designation which ranks her in the top 5% of attorneys in Northern California. In addition, in the Capital Markets practice area, she is recognized in The Legal 500, a comprehensive guide to the legal market that offers recommendations of lawyers worldwide.For 2004 and 2005, IPO Vital Signs ranked Ms. Berezin among the top 10 lawyers in the nation representing investment banks in biotechnology initial public offerings.
Ms. Berezin received a J.D. in 1992, from the University of Pennsylvania Law School. She completed a bachelor's degree in international political economy with high honors at the University of California, Berkeley, in 1988, where she was elected to Phi Beta Kappa.
She is a member of the California and American Bar Associations.
