Steven K. Weinberg is a partner in Cooley's Business department and head of the Firm's east coast Credit Finance practice. He also is active in the Firm's Debt Securities Practice group. He is the former head of the Firm's New York Business and Technology group. He joined Kronish Lieb Weiner & Hellman LLP in 1976, which merged into Cooley LLP in 2006. He is resident in the New York office.
His practice focuses on domestic and international business transactions and includes corporate and securities matters and a broad range of secured and unsecured debt financings, workouts and restructurings. Mr. Weinberg also is a member of the Firm's Opinion Committee. Mr. Weinberg's noteworthy representations include:
- The representation of WestLB, a lead bank, in the negotiation and restructuring of $850 million of loans made by over 30 banks to AES Eletropaulo, a Brazilian electric power distributor.
- The representation of HSBC Bank USA, N.A., and its affiliates, HSBC Private Bank, HSBC Bank, plc, HSBC Canada, HSBC Australia, Hongkong and Shanghai Banking Corporation and Hang Seng Bank, and in addition Deutsche Bank AG, Hong Kong Branch, Sumitomo-Matsui Banking Corporation, Sumitomo Corporation of America, Bank of Scotland, CIT Corporation, Australia and New Zealand Banking Group and other financial institutions, in domestic and cross-border secured and unsecured financings, including revolving credit facilities, term loans, acquisition financings, ESOP financings, factoring and asset-based financings.
- The representation of numerous commercial, venture-backed and real estate borrowers in a wide range of credit finance transactions.
- The representation of leading private-equity firms and lenders in cross-border US/UK acquisitions.
- The representation of US, UK and Irish issuers or their nominated advisors in various IPOs on the London Stock Exchange.
- The representation of Ware Industries Inc., a leading specialty steel fabricator, in a leveraged ESOP transaction.
- The representation of Rafaella Sportswear Inc., a leading manufacturer of women's sportswear, in connection with its acquisition by Cerberus Capital Management LP and related 144A debt financing.
- The representation of The Rockefeller Family Trust, the sole voting stockholder of Rockefeller Financial Services, a wealth management company, in its alliance with Societe Generale, including a minority investment by Societe Generale.
Mr. Weinberg received his J.D. from Cornell Law School with distinction and with specialization in international affairs. He also was an Editor of the Law Review and was elected to the Order of the Coif. He earned his M.B.A. from Cornell's Johnson Graduate School of Management and his B.S. in engineering from Cornell.
He has been selected to appear in Law Media Group's 2007 Edition of The World's Leading Banking Lawyers and by Mondaq, an on-line publisher, to appear in its listing of the World's Leading Banking Lawyers. He has lectured on topics relating to secured lending, venture company lending, the applicability of U.S. securities laws to securities offerings on the London Stock Exchange's Alternative Investment Market (AIM), debt and equity financings by offshore issuers, Sarbanes-Oxley and other corporate governance issues and the emergence of the European Union. He also has published articles on banking and corporate finance issues.
Mr. Weinberg has served as a Director of Interlaw, an international association of law firms, and is a past Chairman. Interlaw's members include 66 law firms with more than 5,000 attorneys, with offices in 120 major cities spanning the Americas, Europe, the Middle East, Africa and Asia Pacific.
Mr. Weinberg has been active in local civic affairs in his home town of Scarsdale, New York, having, among other positions, served as President of the Town and Village Civic Club, President of the Board of Trustees of the Scarsdale Public Library and Chair of the Scarsdale Board of Zoning Appeals, and as a member of the Legislative Advisory Board to the Scarsdale Board of Education. He is currently a member of the Advisory Council and the Dean's Special Leadership Committee, and a past member of the Visiting Committee, of the Cornell Law School.
Mr. Weinberg is admitted to practice before the New York State Bar. He has served as a member of the Banking Law Committees of the Association of the Bar of the City of New York and the New York County Lawyers Association. He currently is a member of the Uniform Commercial Code, Commercial Financial Services and Legal Opinions Committees of the American Bar Association.
